Please read these Terms of Service carefully before using UMR's website, products, or services. By accessing or using any part of our services, you agree to be bound by these terms. If you do not agree, please do not use our services.
By accessing or using the UMR website (umragency.tech or any associated domain), requesting our services, using our software products (including Prompt Ranger and Skin Progress AI), or engaging UMR Agency for any project, you ("the User" or "Client") agree to these Terms of Service and our Privacy Policy.
If you are entering into these terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
UMR — Universal Modern Range is a software company based in Chittagong, Bangladesh, founded by Mohammad Mudassir. UMR operates two primary arms:

UMR offers the following, subject to availability and applicable agreements:
All services are subject to availability. UMR reserves the right to decline any project or service request at its sole discretion.
All agency projects begin with a scoping discussion. The agreed deliverables, timeline, and pricing will be confirmed in writing (via email or WhatsApp) before work begins. Work outside the agreed scope may require additional fees.
To allow UMR to deliver on time, clients agree to:
The number of revision rounds included will be specified at the start of each project. Additional revisions beyond those included may be billed separately.
Upon delivery of the final product, the client has a reasonable period (typically 7 days) to review and request final changes within scope. Failure to respond within this period may be treated as acceptance.
Demo access to Prompt Ranger and Skin Progress AI is provided at UMR's discretion. Demo access is personal, non-transferable, and may be revoked at any time. Demo users may not share access credentials or use demo access for commercial purposes.
When paid plans are available, they will be governed by the specific terms presented at the time of purchase. All plan terms will be clearly disclosed before any payment is required.
UMR's software products are currently in development and demo phases. We do not guarantee continuous availability and reserve the right to modify, suspend, or discontinue features at any time, with notice where reasonably possible.
Payment terms for agency projects are agreed upon before work begins. Unless otherwise agreed in writing:
Due to the custom nature of our agency work, deposits are generally non-refundable once work has commenced. If UMR is unable to deliver agreed services for reasons within our control, a proportional refund will be offered. Refund requests must be submitted within 14 days of delivery.
Upon full payment, clients receive full ownership of the website or digital product created specifically for them, including any custom code written for that project. UMR retains the right to display the work in our portfolio unless the client requests otherwise in writing.
UMR retains all rights to our software products (Prompt Ranger, Skin Progress AI), frameworks, reusable code libraries, proprietary tools, and the UMR brand. Nothing in these terms transfers ownership of UMR's intellectual property to any client or user.
Projects may incorporate open-source or third-party components licensed under their respective terms. UMR will disclose significant third-party components used in client projects upon request.
When using UMR's website or software products, you agree not to:
Violation of these conduct rules may result in immediate termination of service without refund.
Our services and products are provided "as is" without warranties of any kind, express or implied. UMR does not warrant that our services will be uninterrupted, error-free, or free of security vulnerabilities.
To the maximum extent permitted by applicable law, UMR shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, even if we have been advised of the possibility of such damages.
UMR's total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific service giving rise to the claim, in the three months preceding the claim.

All AI analysis provided through Skin Progress AI is for informational and self-tracking purposes only and should not be used as a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified dermatologist or healthcare provider for any medical concerns regarding your skin.
UMR expressly disclaims any liability for decisions made based on AI-generated skin analysis from Skin Progress AI.
UMR reserves the right to terminate or suspend access to our services, software products, or any ongoing project, at our discretion, if a user or client violates these Terms of Service, fails to make required payments, or engages in conduct harmful to UMR or other users.
Clients may terminate agency service agreements by providing written notice. Fees for work completed up to the point of termination remain payable.
These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising from these terms or from UMR's services shall first be attempted to be resolved through good-faith communication. If unresolved, disputes shall be subject to the jurisdiction of the courts of Chittagong, Bangladesh.
UMR reserves the right to update or modify these Terms of Service at any time. We will update the "Last updated" date at the top of this page when changes are made. For significant changes, we will make reasonable efforts to notify active clients. Continued use of our services after changes take effect constitutes acceptance of the updated terms.
